A majority-independent Board of Directors provides ongoing oversight of management, strategy, and risk.
Audit Committee
The Audit Committee is composed entirely of independent directors, including a designated financial expert, in accordance with SEC and NASDAQ standards.
Regulatory Compliance
The Company operates under the full disclosure and compliance regime applicable to proposed NASDAQ-listed special purpose acquisition companies.
Shareholder Alignment
The sponsor structure — including founder-share lock-ups and forfeiture provisions — is designed to align long-term interests with those of public shareholders.
